Terms of Service

Please read these Terms of Service ("Terms") carefully. They form a binding legal agreement between you and Burks Capital LLC ("Burks Capital," "we," "our," or "us"), the company that owns and operates SY Books (a doing-business-as name of Burks Capital LLC) and all associated services available at sybooks.app.

1. Acceptance of terms

By creating an account, subscribing, accessing, or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Who we are

Burks Capital LLC is the legal entity that owns SY Books and all intellectual property associated with the platform. "SY Books" is a brand name operated under Burks Capital LLC. All contractual obligations, intellectual property rights, and business relationships related to the SY Books platform vest in Burks Capital LLC.

3. The Service

SY Books provides a subscription-based digital reading platform that gives members access to a curated library of ebooks, interactive workbooks, personalized reading paths, and related tools designed for self-improvement and personal development (collectively, the "Service").

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4. Accounts and subscriptions

4.1 Account creation

To access the full Service you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

4.2 Subscription plans

We offer multiple subscription tiers (Starter, Builder, Mastery) billed monthly or annually. Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. Details of each plan are available at sybooks.app/plans.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You retain access to the Service until the end of the paid period; no partial-period refunds are issued for cancellation.

5. Billing and payments

All payments are processed by Stripe, Inc., a PCI DSS Level 1 certified payment processor. By providing payment information, you authorize us to charge your payment method for the applicable subscription fee on a recurring basis.

Prices are listed in US dollars. We reserve the right to change subscription pricing upon at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new price.

Failed payments may result in suspension or termination of your account. We may retry failed charges up to three times before suspending access.

6. No-refund policy for downloaded content

This policy is consistent with standard practices in the digital content and publishing industry and complies with applicable consumer protection frameworks that recognize downloaded digital goods as non-returnable once accessed.

We are happy to answer questions and help you choose the right plan before you purchase. We cannot issue refunds after content has been accessed.

Exceptions: We may, at our sole discretion, issue a refund or credit in the case of a verified billing error (e.g., duplicate charge) or a confirmed technical failure that prevented you from accessing the Service. Refund requests must be submitted within 7 days of the charge by emailing [email protected] with your transaction ID.

7. Intellectual property

7.1 Our property

The SY Books platform, brand, technology, software, design, and all original content created by Burks Capital LLC — including but not limited to the Clarity Method, 8 Foundations, and Thinking Traps frameworks, workbook templates, reading paths, and editorial curation — are the exclusive intellectual property of Burks Capital LLC, protected by copyright, trademark, and other applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, publicly display, create derivative works from, or exploit any part of the Service or our proprietary content without our prior written permission.

7.2 Third-party content

The ebook library includes works by third-party authors and publishers. Access to this content is provided under license or through legally obtained distribution rights. You may access and read this content for personal, non-commercial use only. You may not reproduce, distribute, publicly perform, sublicense, sell, or otherwise transfer third-party content accessed through the Service.

7.3 License to you

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial reading and self-improvement purposes. This license does not include any resale or commercial use of the Service or its content.

8. Prohibited use

You agree not to:

• Share, sell, sublicense, or redistribute access to the Service or any content within it.
• Use automated tools, scrapers, or bots to access or download content from the Service.
• Circumvent or attempt to circumvent any digital rights management, access control, or copy protection measures.
• Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.
• Upload, transmit, or distribute any material that is harmful, obscene, defamatory, or that infringes any third-party intellectual property rights.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the integrity or performance of the Service or any systems connected to it.
• Create multiple accounts to circumvent subscription limits or take advantage of free trial offers more than once.

9. User-generated content

If you submit content to the Service (such as workbook entries, notes, or feedback), you retain ownership of that content. By submitting it, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display that content solely to operate and improve the Service. We will not share your private workbook entries or notes with third parties except as required by law.

10. Third-party services

The Service integrates with third-party services including Stripe (payments), Meta (advertising), and Google (advertising and analytics). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices of any third-party service providers.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE SERVICE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE FREE FROM DEFECTS, VIRUSES, OR OTHER HARMFUL COMPONENTS.

THE CONTENT IN OUR LIBRARY IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE (MEDICAL, LEGAL, FINANCIAL, OR OTHERWISE). RELY ON IT AT YOUR OWN RISK.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BURKS CAPITAL LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Burks Capital LLC and its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights, including intellectual property rights.

14. Governing law and disputes

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Tennessee in English. The arbitration award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver: You agree that any arbitration or proceeding shall be conducted individually and not as part of any class, consolidated, or representative action.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

15. Changes to these terms

We reserve the right to update these Terms at any time. Material changes will be communicated by updating the "Last updated" date above and, where appropriate, by email notification. Your continued use of the Service after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Service and cancel your subscription.
